ANALISIS HUKUM PENERAPAN PENGGUNAAN KLASIFIKASI BAKU LAPANGAN USAHA INDONESIA (KBLI) PADA PERSEROAN TERBATAS=LEGAL ANALYSIS OF APPLICATION OF THE USE STANDARD CLASSIFICATION OF INDONESIAN BUSINESS FIELDS (KBLI) IN LIMITED LIABILITY COMPANIES

Penelitian ini bertujuan untuk menganalisis dan menelaah pengaruh perubahan KBLI dalam kurun waktu yang sangat singkat terhadap kepastian hukum Perseroan Terbatas. Penelitian ini menggunakan tipe penelitian hukum empiris (law in action) dengan kata lain adalah jenis penelitian hukum sosiologis atau dapat pula disebut dengan penelitian lapangan, yang ingin mengkaji dan menganalisis ketentuan hukum yang berlaku serta apa yang yang terjadi dalam kenyataan di masyaratakat, yaitu bagaimana kepastian hukum Perseroan Terbatas dengan perubahan KBLI dengan waktu yang tergolong singkat, baik dilihat dari aspek normatifnya terkait dengan kaidah-kaidah hukum yang termuat dalam ketentuan KBLI, maupun dari aspek sosiologisnya dengan melihat bagaimana pelaksanaan atau penerapan di dalam praktiknya di masyarakat. Hasil penelitian menunjukkan bahwa; Pengaruh terhadap perubahan KBLI dalam kurun waktu yang sangat singkat terhadap kepastian hukum Perseroan Terbatas, terdapat beberapa kendala yang dialami oleh Pelaku usaha dan Notaris. Terkait regulasi, Notaris merasa bahwa masih ada tumpang tindih antara sistem yang ada di dalam Badan Koordinasi Penanaman Modal (BKPM) dan Administrasi Hukum Umum (AHU) Kementrian Hukum dan HAM. Sistem Administrasi dalam AHU masih menggunakan KTP lama, sedangkan OSS, sudah menggunakan E-KTP. Dengan demikian pembacaan data dari OSS ke AHU terdapat kendala seperti data yang tidak sama. Sehingga dapat disimpulkan peraturan-peraturan tersebut tidak mewujudkan adanya kepastian hukum bagi pelaku usaha, dan pelaku usaha juga tidak bisa melakukan kerja sama dengan pihak ketiga, dan terdapat kendala bagi notaris dalam menjalankan tugas jabatannya. Implikasi hukum status Perseroan Terbatas jika tidak melakukan perubahan Anggaran Dasar untuk penyesuaian KBLI 2020, maka perusahaan tersebut tidak memperoleh NIB, Izin usaha, izin operasional sehingga tidak dapat melakukan kerjasama dengan pihak ketiga. This research aims to analyze and examine the effect of KBLI changes in a very short period on the legal certainty of Limited Liability Companies. This research uses the type of empirical legal research (law in action) in other words, it is a type of sociological legal research or can also be called field research, which wants to examine and analyze the applicable legal provisions and what happens in reality in the community, namely how the legal certainty of Limited Liability Companies with KBLI changes with a relatively short time, both from the normative aspect related to the legal rules contained in the KBLI provisions, as well as from the sociological aspect by looking at how the implementation or application in practice in the community. The results showed that; The effect of KBLI changes in a very short period on the legal certainty of Limited Liability Companies, there are several obstacles experienced by business actors and Notaries. Regarding regulations, Notaries feel that there is still an overlap between the existing sistem in the Investment Coordinating Board (BKPM) and the General Legal Administration (AHU) of the Ministry of Law and Human Rights. The Administration Sistem in AHU still uses the old KTP, while OSS, already uses E-KTP. Thus the reading of data from OSS to AHU has obstacles such as data that is not the same. So it can be concluded that these regulations do not realize legal certainty for business actors, and business actors also cannot cooperate with third parties, and there are obstacles for notaries in carrying out their official duties.The legal implications of the status of a Limited Liability Company if it does not make changes to the Articles of Association to adjust KBLI 2020, then the company does not obtain NIB, business licenses, operational licenses so that it cannot collaborate with third parties.
